Australia-listed casino operator Donaco International Ltd said in a Tuesday announcement that On Nut Road Ltd now controls 100 percent of Donaco shares, after a so-called scheme of arrangement was implemented that same day. An Australian court had approved the scheme a fortnight ago.
Donaco operates the DNA Star Vegas casino resort in Poipet, Cambodia, on that nation’s border with Thailand, and the Aristo International Hotel (pictured) and its casino, at Lao Cai, on Vietnam’s border with China.
On Nut Road has been described in previous Donaco filings as a special-purpose vehicle managed by Argyle Street Management Ltd, a Hong Kong licensed fund manager. On Nut Road had been an investor in Donaco since 2019, holding previously a 12.84 percent of the casino firm’s issued capital.
“Donaco International Ltd … is pleased to announce that the scheme of arrangement pursuant to which On Nut Road Ltd will acquire 100 percent of the shares in Donaco that it does not already own has been implemented,” stated the casino operator in a filing to the Australian Securities Exchange (ASX).
Donaco shareholders received AUD0.045 (US$0.030) in cash for each Donaco share they held.
Trading in Donaco shares on the Australian bourse was suspended at the close of trading on August 8.
“Donaco has applied to be removed from the official list of the ASX. Delisting is expected to take effect on and from the close of trade on Wednesday, 20 August 2025,” said the company.
